These Terms of Service ("Terms") govern your access to and use of the FreeForm Technology website and the purchase of services from FreeForm Technology ("we", "us", or "our"). By using our website or purchasing our services, you agree to these Terms.

1. About Us

FreeForm Technology is a technical solutions company registered in China, providing software development, artificial intelligence solutions, consulting, and training services to clients worldwide. Our registered address is: Room 516-397, 5/F, Import & Export Exhibition Center, Huanghua Bonded Zone, Changsha, Hunan, China.

2. Services

We offer software development, AI solutions, technology consulting, and training/workshop services as described on our website. Each service engagement is governed by a separate Statement of Work (SOW) or service agreement that will be provided upon order confirmation.

The prices listed on our website are indicative starting prices. Final pricing will be confirmed in the SOW or invoice based on your specific requirements and scope.

3. Orders and Payment

When you place an order through our website, we will send you an order confirmation and a detailed Statement of Work for review and acceptance.
Payment terms are specified in the invoice or SOW. All payments are processed through WorldFirst (Ant Group).
Prices are quoted in USD unless otherwise stated. Any applicable taxes will be added to the invoice.
Payment is due according to the terms stated in the invoice. Late payments may result in service suspension.

4. Delivery and Acceptance

Delivery timelines are specified in the SOW and commence after the SOW is signed and any advance payment is received.
Deliverables are provided digitally unless otherwise agreed. Acceptance criteria are defined in the SOW.
Upon delivery, you have a specified review period (as defined in the SOW) to raise any issues or request revisions.

5. Training and Workshops

Public training sessions require full payment at the time of enrollment. Enrollment is confirmed upon payment receipt.
Session recordings and materials are provided for personal use only and may not be redistributed or resold.
Cancellations made 7 or more days before the session start date are eligible for a full refund. Cancellations within 7 days are non-refundable but may be transferred to a future session.
Corporate/private workshops require a 50% deposit to confirm the booking, with the balance due 7 days before the workshop date.

6. Intellectual Property

Custom Development: Upon full payment, we assign all intellectual property rights in the custom-developed deliverables to you, excluding our pre-existing tools, frameworks, and methodologies.
Training Materials: Our training materials, curricula, and recordings remain our intellectual property. You are granted a non-exclusive, non-transferable license to use them for internal purposes only.
Confidentiality: Both parties agree to keep confidential any proprietary information shared during the engagement.

7. Warranties and Disclaimer

We warrant that our services will be performed in a professional and workmanlike manner in accordance with industry standards. If deliverables do not conform to the specifications in the SOW, we will correct them at no additional charge within a reasonable timeframe.

Except as expressly stated, our services and website are provided "as is" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

8. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability for any claim arising from or relating to these Terms or our services shall not exceed the total amount paid by you for the specific service giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, or punitive damages.

9. Refund Policy

Services: If we fail to deliver the agreed scope within the specified timeline (excluding delays caused by you or force majeure), you may request a partial or full refund proportional to the undelivered work.
Training (Public Sessions): Cancellation 7+ days before start — full refund. Within 7 days — no refund, but a transfer to a future session is permitted.
Training (Corporate Workshops): Cancellation 14+ days before — full refund. 7-13 days — 50% refund. Less than 7 days — no refund.

10. Website Use

You agree not to misuse our website for any unlawful purpose or in violation of any applicable laws.
We reserve the right to modify or discontinue our website or any service at any time with reasonable notice.
We are not liable for any damages resulting from your use of or inability to use our website.

11. Governing Law

These Terms are governed by the laws of the People's Republic of China. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, the dispute shall be submitted to the competent court in Changsha, Hunan, China.

12. Changes to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the new Terms.
